BUSINESS DESCRIPTION

**  Talk Internetwork, Inc. proposes to engage in the business of operating and producing an All-Talk Program Service to be produced for, and seen and heard exclusively, on the Internet that is now used by over 200 million people in the United States.  The "Computer Industry Almanac" reports that by 2004 there will be 500 million
people around the world with Internet access.

**  Registered and addressed as www.TalkInternet.com, this "All-Talk Web Channel" can "broadcast", or "webcast", to all computers Online on the World Wide Web.

**  The company has a lineup of popular nationally-known Talk Show Hosts and intends to produce and broadcast all programs from the cities where each host is located, using a centralized telephone system to accept calls from viewers, and also utilize E-mail services for viewer questions and comments.  The Company plans an innovative element
only possible on the Internet:  with a small inexpensive webcam atop one's computer, the viewer calling may be seen "on the air" with the Hosts on all programs.

**  TalkInternet.com plans initially to broadcast "live and interactive" programs for 4 hours daily from 5-9 pm Eastern / 4-8 pm Central / 3-7 pm Mountain / 2-6 pm Pacific times.  All programming is advertiser-supported and would be Archived immediately and available On-Demand at anytime.

**  "Internet broadcasting" became possible in 1995 when software was developed which can "stream" audio and video on the Internet.   Among those "webcasting" on the Net for over four years are CNN, Fox News, ABC News, C-Span, and many others.
